Kirill Ratnikov is highly positioned in international and Russian legal rankings in the areas of mergers and acquisitions, construction, real estate and project finance/public private partnerships (PPPs) and also known for his work in Kazakhstan and the CIS.  Kirill Ratnikov graduated from the law faculty of the Lomonosov Moscow State University, earned his Ph.D. from the Institute of State and Law of Russian Academy of Sciences, received his LL.M. degree at Yale University Law School and studied European Union law in the Netherlands (on EU scholarship). For more than 20 years, he has worked at major international law firms (for eight years as a partner, head of M& A and project finance practices) before he joined Rosatom Overseas Inc. (State Corporation Rosatom) as Vice President responsible for project finance and EPC construction projects of nuclear power plants in Africa, Middle East, Latin America, South-East Asia and India.


Kirill’s representations in international arbitration and litigation include:

1) key legal expert on Russian law in LCIA arbitration involving a major minority shareholders dispute about a listed Russian company (case settled);

2) key legal expert in a $1.2 billion litigation involving complex derivatives in Russian courts (Transneft v.  Sberbank) (case settled);

3) coordination of several litigations claims totaling $770 million involving a major mobile operator and minority shareholders (case settled).

Mergers & Acquisitions and Private Clients

  • 15 acquisitions of telecommunications companies in Russia and CIS countries, 10 acquisitions in oil and gas industry, 3 investments in mining assets in Russia and Kazakhstan, 5 acquisitions in the banking and insurance industry, 8 acquisitions in the drinks and beverages industry, 3 mergers in the construction industry and other M&A deals in IT, manufacturing, transport and other industries in Russia and CIS countries (since 1994 work on more than 100 deals, including private equity investments).
  • Acquisitions of assets for family offices of ultrahigh net worth individuals including hotels, yacht construction business, football club, luxury real estate, hotels and other properties in Europe and the US, restructuring of private holding companies, offshore structuring and trusts.

During his career Kirill has participated in the majority of significant PPP and infrastructure projects on the  Russian territory and the CIS (more than 40 projects in total, most recently (2019-2020) involving a 126 billion ruble state and privately funded construction of a bridge across the Volga river and a 100 km connecting road near the city of Tolyatti); and worked on project finance deals in Kazakhstan, where he was managing partner of the Astana office for two years.

Since January 2015, Kirill ahs been Member of the UNECE PPP Business Advisory Board and also serves as Professor at the PPP Department of the Finance University under the government of the Russian Federation and Visiting  Professor of MGIMO University (M&A and project finance courses).
